Sharing information with the media in advance on the condition that it is not published before a specified time.
An embargo gives journalists time to prepare an accurate piece and allows the company to plan the moment of announcement. It is used for research findings, reports, major investments or board changes. The terms, including the exact date and time, should be stated clearly on the material and confirmed by the journalist.
An embargo rests on trust, not compulsion. Most newsrooms respect it, but there is always a risk of early publication. Information subject to specific requirements, such as the disclosure obligations of listed companies, should therefore not be shared with the media before its official release. Such situations should always be discussed with a lawyer involved.
For the board, an embargo is a tool for controlling timing, not for protecting confidentiality. If early publication would cause the company serious harm, the information should not be shared in advance with anyone outside a small circle.
