A company's communication with shareholders, investors, analysts and lenders, based on accurate, timely and consistent information.

Investor relations is associated with listed companies, but it concerns any business that uses outside capital: from a private equity fund, through a lending bank, to minority shareholders. Its aim is that those assessing the company understand its strategy, results and risks, and base their judgements on facts rather than guesswork.

In listed companies, communication with investors is subject to detailed disclosure obligations and requires close cooperation with lawyers and the finance team. Private companies face fewer formal obligations, but expectations of transparency can be similar, especially during financing, a transaction or a change of ownership.

For the board, consistency is key. What the company tells investors must match what it tells the media, employees and customers. Discrepancies come to light quickly and undermine the board's credibility more than bad news itself.
